Voting by Email?

If a Board of Directors votes via email then must those votes be entered into minutes according to Robert's Rules? Unfortunately, the original by-laws which have only been amended a couple of times on other matters, do not discuss this. They also date back to the 1980's, before email was a form of communication for a board of directors.

No because unless the bylaws specifically provides for voting by email (which it sounds like yours don't) you can't do it. Any motions voted on by email are null and void (RONR p. 2 footnote, p. 244[d], p. 255, pp. 408-409).
