The Board of Directors passes a motion to allow him to take 3-4 months leave. VP will be 'Acting Pres.' There is no provision, practice, or prior instance of this happening in 10 years of clubs existance. There is no 'Acting Pres.' provision; there is no medical leave provision either. Does the Board have the power to do this? The club is an Inc., with a 501©3 status.I think that when an officer is unable to perform their duties, either they should step down, or the position becomes vacant by lack of fulfilling duties of office.Is there anyone with a similiar experience?Sam Link to comment Share on other sites More sharing options...

At this point (assuming there is no other applicable rules for the organization) you have the VP taking over the duties of President during meetings. However, unless the bylaws grant the VP the power to take on the administrative (extra-meeting) duties in the absence of the President the VP does not have the authority to perform those duties. So unless there are no extra-meeting duties (or they are minimal and the organization can get away with not having them performed for the next few months) you should either get the President to resign his office or remove him from office. That way the VP would become the President and you could elect the (former) President as VP and switch things back around when he comes back if you all want.
