Remove a board member

A person ran unopposed for a position on the board and took position by acclamation. Bylaws do not state how a person can be removed when not actually voted in. This person has acted irresponsibly in the position. Can the present board members remove this person or must it be done by membership? Is there any difference between a "director" or an "officer" (such as president, vp, etc) in this situation? I would expect it to be best done by ballot voting rather than verbal in either situation.

There's no difference caused by running unopposed; they are still considered "voted in". If your bylaws have provisions for removal of officers, they apply.

Individuals who are elected by acclamation are removed the same way as everyone else.

The membership, unless your Bylaws grant the board the authority to remove him. See FAQ #20 for more information.

So far as RONR is concerned, directors are officers.

I would expect it to be best done by ballot voting rather than verbal in either situation.
