The closest thing would be that for Special Meetings only items which are included in the call of the meeting can be validly conducted. However, a subset of the Board meeting does not constitute a Special Meeting of the Board (unless the entire Board is invited, the bylaws provide for Special Meetings, and all of the requirements for calling one are followed). No.If all (a PART of) a board is going to do is TALK (about what they are GOING to do), then you don't need an agenda, BECAUSE IT ISN'T A REAL BOARD MEETING.You don't need agendas just to gather and gab, gossip, cavil, complain, cabal, brain storm, network, etc., assuming no official binding decisions are being made.You don't need agendas for lunches, cocktail parties, or coffee klatsches -- i.e., to meet casually.
