When presiding, the Chairman (normally the President) may rule a motion out of order, but must give a reason (such as the motion conflicts with a By-law.) However, the decision may be appealed and the membership may make the ultimate decision.On a Board with less than 13 members present, the rules are relaxed so the Chairman can enter into debate, make motions, vote just like any ohter member can (the Chairman, if a member, can do so even in a larger group but refrains from doing so in order to maintain the illusion of being impartial.) The Chairman, at a Board meeting, may move to postpone indefinitely if he/she wishes to attempt to kill a motion. Link to comment Share on other sites More sharing options...
