Motion made outside of a meeting?

A motion has been made to all board members via email to remove a board member from his position due to lack of attendance at meetings and not fulfilling his job duties. This motion was made via email and not in an actual meeting. There is a second. Can we proceed with a vote via email or does the motion and voting need to take place at an actual meeting?

Unless your bylaws specifically authorize conduct of business via email, you absolutely must do all these things at a meeting. All these actions you describe (motion, second, etc.) have no validity. Also, no absentee voting of any kind is permitted under RONR. Read RONR (11th edition) p 263 ll. 18-24 for a description of the fundamental principle of parliamentary law involved.

Also, removal of a board member is usually not as simple as just making a motion and voting the guy out. Check you bylaws to see if the procedure is clarified there, and also take a look at FAQ #20, elsewhere on this site.
