We have a new President being elected in December, 2011 for 2 years; which would end in December, 2013. Her eligibility to be on the Board of Directors ends in September, 2013. Can she stay on the Board an additional 3 months to see the end of her term thru?

If you're asking if an individual ineligible to serve on the board is allowed to serve on the board, the answer is no.

Hmm. Her term as president will last until December, 2013. If the bylaws say that the president (as well as other officers, probably) is a member of the board (ex officio), and if she -- irrespective of her presidential term -- cannot serve on the board beyond September 2013, I wonder: is there an intrinsic conflict vis-a-vis the presidential term, as distinct from the seat on the board?

This sounds like an organization whose officers are elected from members of the Board of Directors. if that is correct, then officers must be board members. Again, if all my assumptions are correct, then it seems very odd that you could end up in a situation like this. This sounds like either a bylaws drafting/amendment issue/problem or a gross misunderstanding of the governing documents.

Most commonly, such organizations have staggered multiyear terms on the board and officers serve one year terms - and the officer's terms coincide with the terms of directors.
