Guest Edgar Posted December 9, 2011 at 04:45 PM Report Share Posted December 9, 2011 at 04:45 PM If a board member submits a Resolution, does the Resolution have to have a motion, second and vote to become lawful?A resolution is a motion, just one in a particular format. Guest Donald Stephens Posted December 9, 2011 at 05:02 PM Report Share Posted December 9, 2011 at 05:02 PM But, if it is a motion, shouldn't it have a second and a vote. If not, wouldn't it die for lack of a second?

If not, wouldn't it die for lack of a second?Yes, except that seconds are not required at meetings of "small" boards (where not more than about a dozen members are present). Trina Posted December 9, 2011 at 05:33 PM Report Share Posted December 9, 2011 at 05:33 PM But, if it is a motion, shouldn't it have a second and a vote. If not, wouldn't it die for lack of a second? The seconding is sort of optional (not needed at all in small groups; in larger groups, once debate has begun, the fact that a motion might not have been seconded is no longer of any significance). The vote, however, is not optional (although the assembly might adopt a motion by unanimous consent). If the member just offered the resolution, nothing more was said about it, and the assembly simply moved on to other business, then the assembly has not adopted the resolution. Rev Ed Posted December 9, 2011 at 06:32 PM Report Share Posted December 9, 2011 at 06:32 PM And there are other options to a vote - for example, the resolution can be referred to a Committee or Postponed Indefinitely.
