Two Questions---

1. Do the same rules for teleconferencing [RONR (11th ed.), pp. 97-99 apply to the use of Skype?

2. Should an orginization ever re-write its Bylaws rather than ammend them to bring them up to date such using skype,etc?

2) If teleconferencing is not mentioned in the By-laws, then yes.

You need to add everything necessary to cover "skyping" your way through a meeting. Whatever is in your bylaws now, as applicable to in-person meetings and other administrative issues, will remain. No need to "re-write" the bylaws, just add the parts you need through amendment.
