The By-laws of an organizationcalls for twelve members. The board can choose not to fill a vacancy but must put that posistion(s) to the ballot at the next general election. The board has chosen not to fill three positions at this time. There exist a set of by-laws for a permanent committee that controls endowment monies. The over lying by-laws calls for two thirds of the overlying board to over rule the permanent committee.

Would this mean that the two thirds would be 8 votes for or two thirds of the number on board members ast this time?

There are several meanings depending upon the exact wording of the bylaws. Your organization is going to have to interpret what is meant.

However, if that exact wording happens to exactly match defined wording in RONR, the meaning might be quite clear. If you (the original poster) quote the exact sentence in the bylaws about the board's relationship to the permanent committee, we could (maybe) see if the meaning is clear, or if it is one of those cases where you need to do your own interpreting.
