Guest Georgia Posted April 23, 2012 at 03:54 PM Report Share Posted April 23, 2012 at 03:54 PM If a VP of an org. who was elected by the membership submitts his/her resignation at a meeting and the chair does not call for the question nor does the membership vote on the question, that resignation can be withdrawn! If in the interm the President appoints a VP to fill this spot, what happens when the original VP withdraws his/her resignation?

If in the interm the President appoints a VP to fill this spot, what happens when the original VP withdraws his/her resignation? If the President has the power to appoint a Vice-President, he most likely has the power to accept the resignation (RONR, 11th ed., p. 467, ll. 25-28). Are you sure he has this power of appointment?

David A Foulkes Posted April 23, 2012 at 07:36 PM Report Share Posted April 23, 2012 at 07:36 PM I was wrong, the Board appoints a replacementSo, you're saying the bylaws give the Board the authority to fill vacancies (i.e appoint replacements)? Did the Board appoint the replacement VP then, or did the President?
Guest Georgia Posted April 23, 2012 at 11:02 PM Report Share Posted April 23, 2012 at 11:02 PM As I said. The board appointed the new VP not the President.

Gary Novosielski Posted April 25, 2012 at 11:49 PM Report Share Posted April 25, 2012 at 11:49 PM If the board did appoint a replacement, then I think the case could be made that this amounts to a de facto acceptance of the resignation. But the proper way to do it is to accept the resignation first, since that is what creates the vacancy.
