intrmom Posted May 2, 2012 at 02:25 AM Report Share Posted May 2, 2012 at 02:25 AM Our HOA By-Laws state that our board will consist of 12 members. Open positions are filled at our annual HOA meeting. What happens if we cannont fill all vacant seats?
Guest Edgar Posted May 2, 2012 at 02:36 AM Report Share Posted May 2, 2012 at 02:36 AM What happens if we cannont fill all vacant seats? You have an "incomplete election" so you keep trying (i.e. voting) until you do. But vacancies occur all the time and, assuming a quorum can still be obtained, it's not the end of the world. For a long-term solution, you might consider reducing the size of the board. Rev Ed Posted May 2, 2012 at 02:36 AM Report Share Posted May 2, 2012 at 02:36 AM You have an incomplete election. If the HOA cannot honestly find enough members, perhaps you need to have less members on the Board and an amendment to the By-laws would be required.
