However, one of the members in question is the chairman.our by-laws state he interprets the rules and by-laws.Can our group elect a moderator to conducted this special called meeting since the chairman is one of the parties involved and clearly a conflict of interest in his part? The vice-president (RONR's term; you might call him or her a vice-chairman?) would take the chair. (If the organization wants to elect a chairman pro-tem instead of the vice-president's smoothly taking the chair, I think you would have to move to suspend the rules to do it.)
