I have checked the state laws on the membership of HOAs in our state and the bylaws dictate their structure.We currently only have eight members on our board. We also have an election coming up with four positions vacating. We have one member filling one of the four positions which would leave our board with only five members unless we receive floor nominations at the meeting.What are the rules around fewer board members than the bylaws state?What do other HOAs do in this type of situation? On the other hand, vacancies occur all the time without bringing things to a screeching halt. So keep making a good-faith effort to bring your board up to full-strength. You might also consider amending your bylaws to reduce the size of your board but I've always been partial to a nine-member board (with three seats coming up for election each year), so you may not want to go any smaller.
