Guest terry Posted June 11, 2012 at 11:30 AM Report Posted June 11, 2012 at 11:30 AM In the bylaws the board can appoint a board member to finish a term of a resigned member. Is the next person in line the most reasonable choice? They were 2 votes away from being elected. Do they have the right to finish out the term which is for 18 months?

Is the next person in line the most reasonable choice? They were 2 votes away from being elected. Do they have the right to finish out the term which is for 18 months? In filling a vacancy created by a mid-term election resignation, no one has the "right" to finish out the term, whether they lost the previous election by only a couple votes or were not even nominated. It could just as easily be someone who has become a member only yesterday, assuming no rule that board members must have some length of membership first. As for who is the most reasonable choice, nothing in RONR addresses this. I would expect it to be someone who has an interest in being on the board and to fill the unexpired term.-----------Edited to correct election => resignation.
Guest Guest Posted June 11, 2012 at 11:58 AM Report Posted June 11, 2012 at 11:58 AM there was no need for a mid term election the board has the right to appoint someone for the position without an election
jstackpo Posted June 11, 2012 at 12:38 PM Report Posted June 11, 2012 at 12:38 PM Then the board should exercise its best judgment and fill the vacancy.
