Guest Jon Posted June 15, 2012 at 12:35 AM Report Share Posted June 15, 2012 at 12:35 AM Today our organization held the first day of a two-day meeting. Toward the end of the meeting, attendance had dwindled, and when the Chair put an important item to a vote, a member suggested the absence of a quorom. A count revealed that there was no quorom, so the Chair put the vote off until tomorrow morning.Prior experience suggests that attendance on the second day can be low, so there might not be a quorom tomorrow morning either. I heard the Chair say afterwards that he was gathering proxies, which he planned to count as part of the quorom tomorrow. Our bylaws say nothing about proxy voting. May the Chair count proxies as part of the quorom tomorrow?Citations to relevant parts of Robert's Rules appreciated.
Chris Harrison Posted June 15, 2012 at 12:41 AM Report Share Posted June 15, 2012 at 12:41 AM Proxy voting isn't allowed unless the bylaws specifically provides for it or applicable law requires it (RONR pp. 423-424, pp. 428-429).

Guest Edgar Posted June 15, 2012 at 12:46 AM Report Share Posted June 15, 2012 at 12:46 AM See also FAQ #10.And note that even if proxy voting is allowed, it doesn't necessarily follow that proxies would count towards the quorum requirement.
