Which is one reason why some of us here are not fans of bylaws that specify a "range" in the number of board members, not a specific number.Note that you could elect an additional board member (or members) without necessarily having to designate them as a specific officer. But if you want to create additional offices (you have no secretary?), you'd have to amend the bylaws.Note too that, just as you could have board members who do not also hold another office (such as treasurer), you could (depending on your bylaws) also have officers (such as secretary?) who are not necessarily members of the board. RONR deals only with fixed numbers of board members.Recomend that you amend the bylaws to set a fixed number -- how can you tell (now) if you have a vacancy on the board?
