Guest Concerned POA Member Posted July 9, 2012 at 07:11 PM Report Share Posted July 9, 2012 at 07:11 PM Our Annual meeting is scheduled per our Bylaws to be held on the 3rd Saturday of every year.Some members received a ballot with the candidates, a proxy to be signed over to Board members to vote on the Amended Bylaws and amended Covenants. And A proxy to be signed over to Board members for them to vote as please. With a deadline to be turned in to the office.None of the members have seen the New Bylaws and Covenants to be voted on.The Secretary of the Board works at our POA office and is busy opening up the ballots. Yes she is a candidate.Our current Board of DIrectors has violated our Bylaw and Covenants more than once.Not all members were notified of Annual meeting.My question is:Can they change the day of the Annual meeting?Can we as concerned members vote the Board of Directors off the board at OUr Annual Meeting that is not being held on the proper date!So far we have about 75 people that are willing to vote.Please help with any information. The Board members have told us they will count ballots on friday night and will not accept anymore ballots or nominations from the floor Saturday? There will be no voting at our Annual meeting? sMargaret Posted July 10, 2012 at 07:55 PM Report Share Posted July 10, 2012 at 07:55 PM What's the quorum required?I would suggest that you, and a number of other members, write a letter to the board stating that bylaws are very explicit about the general meeting being the 3rd Saturday in July (they're trying to hold it July 14th, the second Saturday?).As for the issues of proxy voting, etc, first off all please confirm if your bylaws actually allow proxy voting, and if they state anything about nominations being allowed from the floor. Would a point of order called at the beginning of the meeting to point out the procedural errors (wrong date, members told they can't vote, vote requested without providing a copy of amended bylaws) be in order? Presumably, the chair would deny the point of order, at which point you could Appeal the Decision of the Chair. Would you have the votes to win that appeal?
