Not a complete list, but first there would be laws (federal, etc), then any sort of corporate charter, constitution and bylaws, then policies and procedures, Robert's Rules of Order (assuming your bylaws state this is the authority), followed by custom (rules not written down, but the "we always do this" stuff).Are your "guidelines" written or unwritten?
