Swapping Executive Board Members

In our organization, we have a Senior and a Junior Vice Commander. After the elections and agreed upon by both members in those positions, that they both should swap positions. How can this be legally done? There isn't anything in our by laws except RONR governs on matters not covered.

Both of them would offer their resignations for their offices (and whichever body is authorized to fill the vacancy would need to accept the resignations). Then whichever body is authorized to fill the vacancies could fill the vacancies with the other person. However, just because these two want to swap offices doesn't mean that the body which would fill the vacancies has to agree and if others throw their hats in the ring their names need to be considered as well. So in theory the body filling the vacancies might decide they don't want either of them and they both could find themselves without an office.

Chris H. Thank you for the excellent recommendation. After giving it some thought and checking our by laws, I will recommend a modified version of your suggestion. We can ask the Senior Vice to resign (if he agrees). Our by laws, says the Junior Vice would assume that position if it becomes vacanct. The by-laws further state that the Commander can appoint an individual to fill the vacant position, with the approval of the board.
