Guest Edgar Posted September 5, 2012 at 07:24 PM Report Share Posted September 5, 2012 at 07:24 PM Can the board of a national club enact a Code of Ethics and make it a condition of membership without a vote by that membership?Only if the bylaws (or some other rule or law) gives the board this authority. RONR certainly doesn't.To put it another way, if your board is proposing to enact this "Code of Ethics", ask it to show you where it gets the authority to do so. Guest John Marinos Posted October 2, 2012 at 04:53 PM Report Share Posted October 2, 2012 at 04:53 PM Thanks for the reply. The board is now trying to say that they were trying to impliment the "code of ethics" as a "Standing Rule" under RONR. JohnR Posted October 2, 2012 at 05:21 PM Report Share Posted October 2, 2012 at 05:21 PM The board can make rules for itself, but it can't make rules for the entire organization unless your bylaws give it that power.
Guest Edgar Posted October 2, 2012 at 05:24 PM Report Share Posted October 2, 2012 at 05:24 PM The board can make rules for itself . . .But probably not rules that make something "a condition of membership" . . . even if only membership on the board. JohnR Posted October 2, 2012 at 05:33 PM Report Share Posted October 2, 2012 at 05:33 PM True. If the bylaws prescribe the conditions of membership, they can't be changed except by formal amendment.
