We do not want to remove him from the board. Can we make him a "Board Member Emeritis" or can we put him on a leave of absence? We would also prefer not to have to count him in the quorum. We would also prefer not to have to count him in the quorum.As I interpret your posting, two of your statements contradict each other. You don't want to remove him from the board, but he also seems incapable of serving and you don;t want to count him in the required quorum. Making him a Board member emeritus (as usually done by organizations) would need to be defined/allowed in your bylaws and such a position has almost no power and a few privileges (such as attending board meetings, dinners, conferences,etc. Check the details in your bylaws, but, unless his term is up, you would need to remove him or he would need to resign to have his position not count in the required quorum.
