Executive Session

Hey Folks,

I am on a school board and we are having some heated differences - politics - a few board members have said some things they shouldn't about the other board members. We are having a Dr. Phil meeting tomorrow in an attempt to mend fences. There is a large group of shareholders that want to attend but the Chair has said it is "Board Members Only". Can he do that? There is No Planned Agenda posted for this meeting.

So far as RONR is concerned, the board may choose to conduct its meeting in executive session, but the chair does not have the authority to make this decision on his own. Additionally, RONR does not require that a planned agenda be posted prior to the meeting.

Since this is a school board, however, it is quite possible that your state's Open Meeting Law or "Sunshine Law" has something to say about this, which would supersede RONR. You should consult a lawyer or the office of your state's Secretary of State if you have questions about that.

This goes beyond the rules in RONR. If you are an elected public body, your state's Sunshine Laws will likely restrict what type of business may be discussed in Executive (closed) Session. They may also require that you state (in public) why you need to go into executive session. None of this is required by RONR, so you'll need to ask your board attorney for details that apply to your specific situation.
