Guest Jason Posted February 14, 2013 at 09:32 AM Report Share Posted February 14, 2013 at 09:32 AM I am a board member, and there are two other members who have spouses that are employees of the organization. My question is, is there any precidence or standard conduct where it is considered a conflict of interest to be a board member when your spouse is a paid employee? There are no provisions in the organizations by-laws.

There are no provisions in the organizations by-laws.Nothing in RONR would prohibit it. RONR does provide that a member should not vote when he has a personal or pecuniary interest not in common with other members, although they cannot be compelled not to vote. So the members probably shouldn't vote on the salaries of their spouses, for example.
