Guest Andrea Posted March 24, 2013 at 08:50 PM Report Share Posted March 24, 2013 at 08:50 PM I have been given a proxy vote. Do I have to vote it the same way I vote, or can I vote mine one way and the proxy another way?
Guest Edgar Posted March 24, 2013 at 08:56 PM Report Share Posted March 24, 2013 at 08:56 PM Please see FAQ #10, paying particular attention to the last sentence which says, "the answers to any questions concerning the correct use of proxies, the extent of the power conferred by a proxy, the duration, revocability, or transferability of proxies, and so forth, must be found in the provisions of the law or bylaws which require or authorize their use". Gary Novosielski Posted March 24, 2013 at 11:32 PM Report Share Posted March 24, 2013 at 11:32 PM Proxy votes are prohibited by RONR to the greatest extent permissible by law. According to RONR, proxy voting...should neither be allowed nor required, because proxy voting is incompatible with the essential characteristics of a deliberative assembly in which membership is individual, personal, and nontransferable. So, if there are rules that apply to your organization that allow or require it, you'll need to follow those rules and, if there are none, you can't use proxies.
