Action needs to be taken prior to the next board meeting. Can the motion be amended via email as long as the majority of board members vote on it? Thank you. No (unless, of course, your bylaws authorize such an e-mail vote). In RONR-Land, all actions by a body (as opposed to actions by an authorized individual) must take place at an in-person meeting of that body.
