Guest MWever Posted April 2, 2014 at 01:12 PM Report Share Posted April 2, 2014 at 01:12 PM Is there a name for a person who is not a member of the board or of the organization itself, but performs the task of a board position because that position cannot be filled? For example, getting a non-member or an accounting firm to do the task of the Treasurer. This person/company would not attend board meetings but would submit reports to the board. jstackpo Posted April 2, 2014 at 01:29 PM Report Share Posted April 2, 2014 at 01:29 PM Hired Hand? Perhaps "Pro Bono Assistant to the President". Other than "non-member" RONR has no identifying term that fits your description.

Imposter? It's not clear to me that, if an office is vacant, that officer's authority can be transferred to anyone else.

There is no special name for this (and, as noted, it may not be entirely proper), but unless your bylaws provide otherwise, I'd note that you can simply elect the person in question to fill the position. RONR has no qualifications for office. Someone can serve as an officer even if he is not a member of the board (or even a member of the organization) unless your bylaws provide otherwise.
