Guest Richard Stringham Posted March 16, 2015 at 12:47 AM Report Share Posted March 16, 2015 at 12:47 AM How should decisions that are made via unanimous consent be recorded in the minutes? For example, would it be appropriate to state the decision as: "By unanimous consent the board approved [state decision that was made]"? Is it necessary to clarify that the decision was made via unanimous consent? Could the minutes simply state: "The board approved [state decision that was made]"? jstackpo Posted March 16, 2015 at 12:50 AM Report Share Posted March 16, 2015 at 12:50 AM Since there is no requirement to record the vote when no count is made, it would follow that there is no need to say that the motion passed by unanimous consent. jstackpo Posted March 16, 2015 at 02:22 AM Report Share Posted March 16, 2015 at 02:22 AM Or just the bare minimum: "Fred moved that ......, Motion carried." No need to mention that it was seconded (as seen in the sample minutes on p. 472).
