During this process a set of by laws that have the old structure were missed. We now have a section in our by laws that ref to our old structure. How should we handle this? Can we just remove them or do we bring this section to the general membership to delete them from the by-laws ( and is there a special motion etc to do this) Lisa
jstackpo Posted October 14, 2015 at 07:26 AM Report Posted October 14, 2015 at 07:26 AM Strictly speaking you should go through the regular bylaw amendment process to strike out those previously overlooked provisions as soon as possible. Call a Special Meeting to do so, if feasible, and if Special Meetings are authorized in your bylaws. Meanwhile, since this appears to be a simple error and your new structure is otherwise fully approved, in place, and functioning, I'd just ignore any of those bylaws that conflict with the new structure. Explain things to your membership clearly and openly, but, still, amend the bylaws RIGHT AWAY, before some stickler tries to hold you to the inconsistent bylaw provisions.
