Our HOA had to do a quick vote by text for the expenditure of a already BOD approved project. How should this action be handled in the minutes, or should this be a set of minutes all to itself? The "action" of the officers making this expenditure should be ratified asap at a regular or special meeting. Edited to add: the action of ratifying the expenditure will take care of getting it in the minutes. Also, during officer reports, the President or treasurer could report on the (invalid) text message vote and ask that it be entered in the minutes. That requires a majority vote or unanimous consent, but does not cure the illegality of the text message "vote". It still needs to be ratified.
