replacing committee members

Our by laws do not include a provision for replacing committee members who leave during a term.  Our Board Development Committee (nominating committee) is usually selected by the general membership at our annual meeting.  If a vacancy occurs during the year, do we have to call a meeting of the entire membership to get a replacement, or can the committee, the President, or the Board of Trustees replace the missing member?

With no "replacement" provision in your bylaws, it looks like you are stuck with having the general membership, at a meeting, elect somebody - p. 575.

However, depending on the exact phrasing in your bylaws, you maybe be able to invoke the RONR paragraph on p. 467.  "Full power and authority" is the key.

You might as well start a little list of things to fix in you bylaws...

The board may fill the vacancy if it has full power over the affairs of the organization between annual meetings. Otherwise, it will be up to the general membership to elect a replacement.
