There are 25 board members on the board.the bylaws state that to move to the next level a person has to receive 2/3 s of the voting membership. at the meeting there were 23 people present and 23 votes cast.the person received 16 yes votes and 7 no votes.the person counting the votes based the tally on 25 people, meaning the total membership,not the members present ,or the votes cast. which is the correct way to do the math.2/3s of 23 that were present or 2/3s of 25. thanks Quote Link to comment Share on other sites More sharing options...

It is up to your organization to determine just what that language means, but it is not the language that RONR suggests when a vote of two-thirds of the entire membership of the board is required.
