Failing to Call the Meeting to Order

If at the annual meeting, the Chairperson, as verified by the Secretary, announced the presence of a quorum, whether in-person or by proxy, but did not call the meeting to order: Is the meeting viewed as proper and valid.  Only committee and Board reports were items on the agenda. No actions were taken during the meeting, except the motion to adjourn.
