Guest DorothyMCC Posted February 5, 2019 at 05:44 PM Report Share Posted February 5, 2019 at 05:44 PM If there are no nominations for recording secretary and no volunteers by elections; who/what fills the position?
Chris Harrison Posted February 5, 2019 at 06:12 PM Report Share Posted February 5, 2019 at 06:12 PM That depends on how the term of office is defined in the bylaws. If the term is X years and (or or) until their successor is elected (or similar language) the current Recording Secretary would remain in office until someone is elected. On the other hand, if if is a fixed term without any qualifying language then the office becomes vacant after the term expires (RONR pp. 573-574). In either case you all should shake the bushes to find someone who is willing to serve because the current Recording Secretary may not appreciate being kept in office beyond his or her term and having a vacant office is no better of an option. You have an incomplete election which should be completed as soon as possible, preferably at the next meeting. Depending on the wording in your bylaws about terms of office, the officers currently in office may well continue to serve until their successors are elected. What do your bylaws say? In addition, unless write-ins are prohibited in your bylaws, it is possible for the members to elect people to those offices as write-in candidates. A final option, depending upon the provisions in your bylaws, might be to treat the positions as vacant and to fill them through the vacancy filling provisions of your bylaws. The best thing, however, is that if the meeting must end without having someone elected, the unfilled positions should be treated as incomplete elections and should be completed at the next meeting. Edited to add: it is possible for someone to be elected to office as a write-in candidate with only one vote if that person is the only person receiving any votes. I concur with my colleagues and would add that, in the event that the position becomes vacant, it will be necessary to elect a Secretary Pro Tempore at each meeting until the position of Recording Secretary is filled, because somebody needs to take minutes.
