Board business during recess

Under Roberts Rules, Is it allowed for the Board to:

1. Go into recess in the middle of a policy revision discussion

2. Then discuss wording for a policy privately

3. Come back from the recess with the wording complete

4. Then vote on the new wording in public

 Or is the wording discussion considered Board business that should be completely discussed in public?

Yes. For that matter, so far as Robert’s Rules is concerned, the board could hold the entire meeting privately.

Robert’s Rules has no requirement that board business must be discussed completely (or even partially) in public.

It is possible that the organization has its own rules on this matter, or that the board is subject to applicable law regarding this matter, often called “open meeting” or “sunshine” laws.
