Brd of Directors Vacancy

(NonProfit Social Club) 2 months prior to the President's term expiring, they resigned and the VP filled the Presidents spot.  During the election process the VP who filled the presidential vacancy was re-elected as VP and a new President was elected.  The by-laws say that the outgoing President becomes the IPP and that the IPP has a spot on the board of directors.  Who would fill the role of IPP for the new term of office?

"The by-laws say that the outgoing President becomes the IPP ,,,"  I assume that the "I" in "IPP" stands for the word "immediate".

Knowing the precise language of your bylaws regarding a vacancy in the office of president (and also the provisions dealing with the vice president) would be helpful.  If your bylaws are worded as RONR suggests, the vice president BECAME president as soon as the president's resignation became effective.  RONR makes no provision for an immediate past president.  It is ultimately up to the members of your non-profit social club to interpret its own bylaws, but it seems to me that the person who became president to fill the vacancy until the elections and was elected vice president again is the immediate past president.  He is the most recent person to serve as president, isn't he?

Ultimately, though, it is up to the members of your organization, not those of us on this forum,  to interpret its bylaws and to determine who is the immediate past president.

It sounds to me like the Vice President is the Immediate Past President, since he was President immediately prior to the current President.
