Submitting Bylaws Amendments

Our society is considering proposed bylaws for adoption this spring.  The State President wants the Executive Committee to see the amendments in advance of mailing them to the membership.  Isn't there a provision in RONR that states the amendments go directly to the membership from the Bylaws Committee?  Ours go in the Call.  (The amendments traditionally go directly from the committee to the printer to the membership).  All I can find is RONR p. 569 ll. 27-29, which is a bit vague.

Answering your question which I have bolded, no, there is not such provision in RONR.  The method of proposing and processing bylaw amendments is usually covered in the society's bylaws or special rules of order.  If the society has no rule on the subject, RONR requires only that notice of proposed bylaw amendments be given to the membership at the previous meeting or in the call of the instant meeting a reasonable time in advance and that the membership adopt any amendments by a two thirds vote or a vote of a majority of the entire membership.  Whether proposed amendments are considered by a committee or the organization's executive committee first is up to the members of the organization itself.

The president does not have any authority whatsoever to arbitrarily make changes to the bylaws unless your own bylaws give him the authority. It is extremely doubtful that they do.

However, even though he should normally give the appearance of neutrality, the president, just like all other members, may propose amendments to the bylaws. But that is far different from being able to single-handedly enact changes to the bylaws.
