The person runs and is elected as the new executive director, which is a non-voting member of the board in accordance with the by-laws. Both are positions of the executive committee. The ED reports to the board. The officers are accountable to the membership. The executive committee approves the ED evaluation. The ED is part of the executive committee along with the officer position. The person disqualified herself from voting on herself as ED. Seems like too much of a conflict of interest. That still does not change the answers given above, based on RONR. Your organization may have your own rules that say that a person can't be the ED and an elected director at the same time. I belonged to an organization that had this situation once. A group of the other directors agreed, informally, that this was a bad idea and then informally talked to the person and convinced him to resign his elected office.
