Guest Laura K Posted April 20, 2021 at 04:22 AM Report Share Posted April 20, 2021 at 04:22 AM I am on a board for a 501c and serve as the secretary. We had a meeting to elect new board members. After the new board members were elected, one decided to resign due to lack of diversity on the board. She thought that her seat would then go to the next highest voted board member who had previously lost. I was asked to do so research on RONR to find out if this is the next logical step. Or do we need to have an entirely new meeting to vote in directors for the board?
Laura K Posted April 20, 2021 at 04:25 AM Report Share Posted April 20, 2021 at 04:25 AM This is my question but I had inadvertently entered it as a guest.

RONR says that the body that originally elected the person fills the vacancy. Your bylaws may have different rules about vacancy-filling. Laura K Posted April 20, 2021 at 05:30 AM Report Share Posted April 20, 2021 at 05:30 AM Thank you for your reply Atul Kapur. We didn't have this in our bylaws so will go with RONR.
Laura K Posted April 20, 2021 at 05:55 AM Report Share Posted April 20, 2021 at 05:55 AM The only other question is if there is a new election - will it be the remaining candidates that lost in the last election or opened up to new candidates as well? A new election would allow for adding new nominees.
Atul Kapur Posted April 20, 2021 at 11:04 AM Report Share Posted April 20, 2021 at 11:04 AM I would go further. The unsuccessful candidates from the past election are not automatically candidates in this election. They, and any new candidates, should be nominated anew.
