A board member can of course attend a board meeting, whether they are on the EC or not. Or are we talking about an EC meeting? In any case, the general rule is that members of a body have the right to attend, and non-members do not. So a non-member of the board would have no right to attend, but could certainly be invited to attend by the board if it would be helpful to the discussion. Is he a voting member of your board? If he's a guest, I don't see how he can vote unless your bylaws confer that right on him. Edited to add: You need to make plain which body you are speaking of. Only members of the executive board (or executive committee) have the right to attend and vote at those meetings. Only board members have the right to attend and vote at board meetings. Do you have both a board of directors and an executive committee (or executive board)? If so, you need to think of them as separate bodies because they are indeed separate bodies. You seem to be referring to an executive board and an executive committee interchangeably. They are quite likely separate bodies.
