RONR goes into great detail explaining the different vote thresholds and the different wording for the different thresholds in section 44 of the 12th edition. Edited to add: a majority vote (or a majority vote of the directors) means one thing. The vote of a majority of the directors means something else. The vote of a majority of the directors present means still something else. All of that is explained in great detail in section 44.
