There was a previous thread that compared the implications of the wording of a vote requiring, a majority of Directors voting, versus the wording of a vote requiring, a majority of Directors present.

Can anyone direct me to this thread?  Thanks

There are probably several such threads which you could find by doing a search of the forum. Was it a recent thread, within the past week or two?

RONR goes into great detail explaining the different vote thresholds and the different wording for the different thresholds in section 44 of the 12th edition.

Edited to add: a majority vote (or a majority vote of the directors) means one thing. The vote of a majority of the directors means something else. The vote of a majority of the directors present means still something else. All of that is explained in great detail in section 44.
