Guest Karen Posted January 7, 2023 at 03:51 PM Report Share Posted January 7, 2023 at 03:51 PM Our Bylaws contain a provision for the bylaws to be amended if a petition containing the change and signed by 10 members is presented to the Secretary who then presents it to the assembly at a special meeting. No mention of allowing electronic signatures. Does RROO provide for electronic signatures as valid signatures in lieu of handwritten signatures? Thank you for responding. Gary Novosielski Posted January 7, 2023 at 05:12 PM Report Share Posted January 7, 2023 at 05:12 PM RONR does not address the topic. All the uses of the word signature in RONR all appear to assume that they are written, but I do not think this amounts to a prohibition against electronic signatures. Ultimately, the interpretation of the bylaws of any society is a matter for the society itself to consider.

As Mr. Novosielski stated, RONR does not address the issue of electronic signatures. The answer to the question whether this is permissible in your organization depends on your own bylaws and possibly upon applicable state law. It is ultimately up to the membership of your organization to interpret its bylaws.
