Who constitutes Board members?

Recently a new Trustee has called a special meeting of the Board.  That person is questioning if officers elected by the general membership are a part of the Board.  She believes they are not.  The club has been in existence since 1979 with Bylaws being enacted at that time.  The Bylaws state that the president shall act as Chairperson and the Secretary shall act as Board secretary.  The VP and Treasurer are not directly named in the Bylaws. As they are elected by the membership are they in fact entitled to all be on the Board and have voting privileges ?

Thank you very much for any assistance.

Your bylaws should define the board membership, so that's where you need to look. If  the only officers listed as board members are the president and teh secretary, then they are the only officers who are on the board. There is no "default" board membership. Ideally, there should  be a specific article that defines the board membership in one location; but you need to look at all of the bylaws provisions to see if there is anywhere else that states that the VP and treasurer serve on the board.
