hmtcastle Posted August 23, 2010 at 03:47 PM Report Share Posted August 23, 2010 at 03:47 PM Does the BoD need to vote to accept the legal counsel & bankers yearly?Only if your bylaws (or some superior rule or law) give your board this responsibility. RONR does not.[Please note that your post may be moved to the General Discussion forum. Gary c Tesser Posted August 24, 2010 at 06:02 PM Report Share Posted August 24, 2010 at 06:02 PM I suspect that Bobby assumes, or knows, that, in his organization (No, the organization does not belong to Bobby!) it's properly te job of the BoD to accept the legal counsel & bankers. He's wondering whether the BoD has to do tis every year. ... or, maybe, whether the BoD can adopt one motion, one time, saying that teh legal counsel & bankers are accepted, which motion will stand in perpetuity unless it is changed by the organization or maybe circumstances render it invalid. If that's Bobby's question, I'll venture that, yes, adopt the motion, and it stands (until it doesn't). Just like the motion, no smoking in the gazebo. The motion stands until modified or repealed ("amended" or "rescinded").(Note that it has recently been pointed out that the motion still stands even if the gazebo is destroyed, and even if there is somehow no such thing as smoking anymore.)
