The Board Members reside all over the country as well as overseas. The only way the Board can conduct business is electronically. Under what conditions is it acceptical for the Board to meet in this manner? Are there any references that can be cited in order to meet in this manner? Are there any references that can be cited in order to meet in this manner?The method of meeting must be authorized in the bylaws. And it should be specific. Simply saying "meeting electronically" doesn't really convey very much information about what sort of meeting you're talking about.
