Our By Laws have not been ammended for ten years. The position of Second Vice President has not been filled for five years. At our annual meeting for nominations, the floor nominated a member who met all the requirements, for this position. One director (not an officer) is challenging this nomination, even though the nominations were closed the night of the meeting. She feels that since the position has not been filled in those five years, there is no need to fill the position ever, even though it still exists in our By Laws. A Board Meeting will be called by next month. I plan to bring the By Laws to prove the position is a part of those By Laws. The proper method for the person you're dealing with to accomplish her goals is to move to amend the bylaws to eliminate the position. Sounds like it won't be a problem passing it.
