Because of some disagreements with the pastor, three of the members have resigned: the president, the secretary and the member-at-large. How do we fill these positions? Because of these resignations, we do not have a quorum. Can business be conducted? Does the vice-president become the president? Can he appoint people to fill those positions? Can he appoint people to fill those positions?You will have to look to the bylaws regarding how vacancies are filled (although the default rule is the VP becomes President and the vacancy exists in the VP office) and how they define a quorum (you could still have one if the quorum is computed from the current members). If you indeed have no quorum for the Board and the General Membership cannot fill those vacancies you will have to look to the Church to see if they have any higher ranking governing documents which can resolve the issue.
