  1. I wonder which is Society's assembly referred IN " Removal of Officer " ( 12th Edition 62:16)? Is it general members of entire organization or the body which elect the officers? Thanks
  2. Can the Board suspend the Officer from his title (job) until they take steps to remove him /her form the office permanently?
  3. I wonder what are the grounds for suspending an officer from presiding over the meetings for his/her bad behavior in the meetings? Thanks in advance.
  4. Thanks Josh. It is a great suggestion. We will try to come up with some rules if they fail to attend for certain number of meetings their names will listed as non members. Also if we introduce a renewal fee with a valid amendment to the Bylaws I hope we are okay. Thanks again
  5. In our nor for Profit organization we have 1400 and above voting members. Only an average of 100 members show up for general body meetings. I wonder how do we make more members to attend or get ride of long time absenting members? Thanks in advance
  6. Our president who chairs the meetings always violating the rules and declare out of order for everything. When we appeal on his order he does not recognize and again says out of order. To remove him form presiding the meeting and to elect a new chair we need to suspend the rules. I wonder to elect a new chair for the rest of the meeting how many votes we need? if it is 2/3 which 2/3 ? whether members present in the meeting and vote or total number of assembly? Thanks
  7. in our not for profit organization recently majority of trustees ( 9out of 16)called for a special board meeting to remove the president and vice president. But president and vice president went to the court filed a complaint against 9 trustees and got a temporary restraining order not to have such meeting until further hearing. 9 trustees came to know the president is using Organization funds to defend his case without board authorization. Now the 9 trustees wants to discuss about the funds spent by the president without board's authorization and called for a meeting. President is arguing that 9 trustees shall recuse themselves from discussing about the spending of funds for his court case. In our bylaws there is no mention of recuse. I wonder do they have to recuse form discussing about spending of organization's funds with out board's approval? Thanks in advance
  8. Can the majority of the board members bring a parliamentarian in to a meeting even the chair does not want it?
  9. when can president call For Security? I believe not for just arguing on point of order. How do we stop physically lifting the trustees from the meeting
  10. The board members try to change the order of agenda items. Chair said out of order the member challenged the out of order again chair said " you are out of order" and called security to take him out. After lot of commotion meeting ended with out any discussion on any item no meeting took place.
  11. In our board meeting first item came up to approve the agenda. There was a draft agenda first sent by secretary earlier 5 days ago. But 3 days ago Some of the board members asked secretary to add 3 more items. Majority of the board members were under the impression that the agenda includes all the items including items sent by trustees 3 days ago. but the chair (President) said the agenda includes only first draft agenda which was sent 5 days ago and does not include the items sent 3 days ago. The items sent 3 days ago were needed an advance notice otherwise they need 2/3 votes to approve the motion. President did not want them on agenda . He did not consider they were part of agenda. He persistently declared out of order when members tried to talk. he called security to remove on of the board members when he said that the president's order is out of order. He canceled the meeting and left . what are the remedies available in future if it happens again? Thanks
  12. Thanks to every one for your valuable comments. we need two thirds votes to suspend the rules is it two thirds of who present at the meeting or total members of the board? Thanks
  13. Right now there are no ( grievances ) complaints on a particular officer but majority of the board do not like the way he is functioning . Does the idea of removing an officer itself constitute a grievance?
  14. well I interpret if board wants to remove any officer they can follow the rules provided in Roberts Rules . If there are any grievances they follow our section 12. They are separate procedures right?
  15. I believe I paste twice the text. Our bylaws does not say anything on removal of Officer. There is no such section in our bylaws removal of Officers. Thanks
