  1. In a board meeting last year, a board member chaired the meeting.  He distributed the first version of the minutes for comments/edits and another board member finalized the minutes right before the next board meeting.

    Then in the next board memting, the other board members rushed to adopt the previous Minutes which was finalized.  The person who had prepared the first version shared that the Minutes were not read at the meeting, the final version was prepared by someone else and he wanted it read at the Meeting or needed to review the Minutes adopted in the next board meeting. The other board members declined and said he was sent the final version (final version should have been sent by him since he prepared V1), took the majority vote and adopted the Minute.  I was under the impression that Minutes should be read at the Meeting, if requested prior to adoption?
