Chris Harrison Posted March 3, 2011 at 05:10 PM Report Share Posted March 3, 2011 at 05:10 PM Does the position pass to the vice president or does the board re-elect a new president? The VP becomes the President and there would be a vacancy in the office of VP which would need to be filled. Robert B Fish Posted March 3, 2011 at 06:08 PM Report Share Posted March 3, 2011 at 06:08 PM Even if your bylaws say soemthing like "the board shall fill vacancies", unless it specifically says otherwise, upon a vacancy in the office of president, the vice-president AUTOMATICALLY becomes the president.-Bob
Gary Novosielski Posted March 3, 2011 at 07:20 PM Report Share Posted March 3, 2011 at 07:20 PM Does the position pass to the vice president or does the board re-elect a new president? The vice president becomes president as soon as the resignation is accepted. Then you have to follow your vacancy-filling rules with respect to the vacancy in the office of vice president. If you have more than one VP, the 1st VP becomes president, the 2nd VP becomes 1st VP, and so on. The vacancy then occurs in the office of the highest-numbered VP.
